2. Scope and Acceptance

These Terms of Service ("Terms") govern access to and use of the CommentClient application ("Service") operated by Mindful Momentum Ltd ("Provider", "we", "us").

By installing CommentClient from the GoHighLevel Marketplace, connecting a YouTube channel, or otherwise using the Service, you ("User", "Subscriber") accept these Terms in full. If you do not agree, do not install or use the Service.

3. Description of the Service

CommentClient is a GoHighLevel Marketplace application that:

• Connects to one or more YouTube channels via the YouTube Data API.
• Monitors new comments on your YouTube videos at regular intervals.
• Automatically creates or updates contacts in your GoHighLevel (GHL) sub-account based on comment activity.
• Provides a dashboard for reviewing pending contacts and approving or rejecting them before they enter your GHL CRM.

The Service is built on and integrated with GoHighLevel (HighLevel Inc.) as its primary CRM and automation platform.

4. Account and Installation

To use the Service you must:

• Have an active GoHighLevel account and sub-account (location).
• Install CommentClient via the official GoHighLevel Marketplace.
• Authorise the Service to access your GHL sub-account via OAuth 2.0.
• Connect at least one YouTube channel by providing a valid YouTube channel ID.

You are responsible for maintaining the security of your GHL account credentials. You must notify us immediately at [email protected] if you suspect any unauthorised access.

5. Fees and Billing

All billing for the Service is handled exclusively through the GoHighLevel Marketplace billing system. The Provider does not process payment card data directly.

• Current pricing is shown in the GHL Marketplace listing.
• Subscription fees are charged in advance on a recurring basis (monthly or annual, as selected).
• Fees are exclusive of applicable taxes; taxes are the Subscriber's responsibility.
• The Provider reserves the right to change pricing with at least 30 days' notice.

6. User Obligations

You agree to:

• Provide accurate information when setting up the Service.
• Use the Service in compliance with the YouTube Terms of Service and YouTube API Services Terms.
• Use the Service in compliance with the GoHighLevel Terms of Service.
• Not use the Service for spam, phishing, harassment, or any unlawful purpose.
• Not reverse-engineer, copy, resell, or redistribute the Service.
• Keep your API credentials and OAuth tokens confidential.
• Obtain any consents required under applicable law (e.g., GDPR) before adding contacts to your GHL CRM.

7. YouTube API Compliance

CommentClient uses the YouTube Data API. By using the Service, you also agree to Google's Privacy Policy. You can revoke the Service's access to your YouTube data at any time via your Google Security Settings.

8. Provider Rights and Obligations

The Provider will:

• Deliver the Service with reasonable skill and care.
• Respond to support requests within 2 business days.
• Handle personal data in accordance with the Privacy Policy.
• Provide advance notice of planned maintenance where possible.

The Provider reserves the right to:

• Modify or update the Service at any time.
• Suspend or terminate access for breach of these Terms.
• Amend these Terms with prior notice (see Section 14).

9. Intellectual Property

The CommentClient brand, application code, dashboard design, and all related materials are the exclusive intellectual property of Mindful Momentum Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes during the active subscription period. No other rights are granted.

10. Cancellation and Refunds

You may cancel your subscription at any time through the GoHighLevel Marketplace. Upon cancellation:

• Access to the Service continues until the end of the current billing period.
• No pro-rata refunds are issued for unused portions of a billing period, except where required by applicable consumer law.
• Consumer right of withdrawal (EU / UK): Consumers have a 14-day right of withdrawal from the date of subscription. If the Service has commenced with your express consent before the 14 days expire, the right of withdrawal may not apply to the used portion of the Service.

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Provider is not liable for temporary unavailability of the Service (including GoHighLevel or YouTube API outages).
• The Provider is not liable for the accuracy or completeness of YouTube comment data retrieved via the API.
• The Provider is not liable for any consequential, indirect, or incidental loss arising from use of the Service.
• The Provider's total aggregate liability shall not exceed the fees paid by the Subscriber in the 12 months preceding the claim.

Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

12. Force Majeure

The Provider is not liable for delays or failures caused by events outside its reasonable control, including natural disasters, war, pandemic, government action, or internet infrastructure failures.

13. Data Protection

Personal data processing is governed by our Privacy Policy, which forms an integral part of these Terms. The Service processes data in accordance with the UK GDPR and EU GDPR.

14. Changes to These Terms

We may update these Terms at any time. For material changes, we will notify Subscribers by email or via a notice in the Service dashboard at least 15 days before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the changes, you may cancel your subscription before they take effect.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer-protection laws in your country of residence provide otherwise.

EU and Hungarian consumers retain the right to bring proceedings before courts in their country of residence in accordance with mandatory consumer-protection provisions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
